
Anna focuses her practice on corporate and commercial law representing several foreign and domestic clients in their extraordinary and day-by-day activity and operations.
She has more than 25 year extensive experience in merger and acquisition and innovative and complex corporate transactions (including joint ventures and general commercial contracts). Since the beginning of the liberalization of the market in Italy, she has dedicated a substantial portion of her activity in the energy sector advising across the full energy spectrum, notably in renewable energy transactions (mergers and acquisitions, financings, development agreements, EPC contracts, O&M agreements, PPAs and disputes matters).

Compagnia Valdostana delle Acque – CVA S.p.A., a Italy based company that operates in the field of power generation from renewable sources, in the acquisition of SR Investimenti, a Italy based company that owns a portfolio of photovoltaic plants and projects in several Italian regions, with a total installed capacity of 42 MW and 1,190 MW of pipeline, from the Pioneer Point Partners and Davidson Kempner European Partners funds.
A2A, in signing the agreement to take over 27.7% of the capital of Saxa Gres, an entrepreneurial group based in Anagni (FR) set up in 2015 to introduce the principles of the circular economy in the ceramics production sector. A2A’s entry into the capital of Saxa Gres represents a virtuous example of a partnership between a utility and the manufacturing sector, and stands as a basis for further developments in the environmental field. Orrick’s assistance covered the M&A and corporate law aspects of the transaction as well as due diligence for administrative and environmental law issues, review of bond issues and IP matters.
Clean Energy 1 (Novenergia Group) in the structuring, negotiation and completion of a refinancing transaction, for a total amount of more than €35 million of wind assets in Italy, which saw Clean Energy 1 acting as borrower, Novenergia Holding Italia as sponsor and Société Générale as Mandated Lead Arranger, Green Structuring Loan Coordinator, Bookrunner and Original Lender, Agent Bank and Account Bank.
Novenergia Solar Italia in the structuring, negotiation and completion of a refinancing transaction, for a total amount of more than €101 million of photovoltaic assets in Italy, which saw Novenergia Solar Italia acting as borrower, Novenergia Holding Italia as sponsor and BNP Paribas, Crédit Agricole Corporate and Investment Bank and Société Générale as lending banks.
E-Vento Cirò with the Sponsor Novenergia Fotovoltaica, of the Novenergia Group, in the project financing for approximately €38 million of the 26 MW wind farm under construction in the Municipality of Cirò (KR). Bper Banca and Siemens Bank GmbH acted as financing banks.
