Simonetta is a lawyer with a consolidated expertise on M&A and private equity transactions, project development as well as joint venture transactions in the renewables energy and infrastructure sectors, assisting clients in structuring, disposing of assets in all the acquisition or sale transactions. Following a 10+ years’ experience as a lawyer, in drafting and negotiating the full transaction documents, including SPAs, JVs, development agreements and shareholders’ agreements, she joined in 2023 Green Horse Financial to support the strategic integration of the two new business units of Green Horse Advisory, playing a key role in structuring and executing a broad range of M&A transactions. She worked closely with cross-functional teams to ensure seamless deal execution and value creation. Gained in-depth understanding of transaction rationales, enhancing strategic and operational insight.

She assists several clients in the sale and acquisition of renewable energy portfolios through competitive processes, developing an in-depth knowledge of the entire seller and buyer side process. She also has a significant experience in financing transactions, having assisted various sponsors in project finance, bond issuance (including green bond) and leasing transactions.

She attended the Executive MBA at SDA Bocconi and graduated on April 2025.

Representative transactions Simonetta has recently advised include assistance to:

Orchidea S.p.A., belonging to Rosa Group, in the structuring of project bond financing for 52,8mln for the construction of 8 advanced agrovoltaic PV plants, subscribed by Teachers Insurance and Annuity Association of America (TIAA) through Nuveen Infrastructure and admitted to trading on the Vienna Stock Exchange.

An international developer in the sale of a standalone BESS in Campania for an authorized capacity of 100MW, participating to the first MACSE auction

Undo Group, in:

  1. the sale of the majority stake in the holding of the group dedicated to the construction, development and acquisition of renewables plants in Italy to Axiom Group Limited

AIEM, in:

  1. the reorganization of the assets among different business units and the sale of the platform dedicated to development, construction and maintenance of solar PV projects in Italy to Impax Asset Management

Castello SGR in the acquisition of 7 PV operating plants, then refinanced by BPM and BPER as lenders.

 

Nuveen Infrastructure, in:

  1. the sale to ENI of the entire wind portfolio held in Italy, for an aggregate installed capacity of 315 MW;
  2. the sale of a 85.4MW portfolio of solar plants to Tages Capital SGR;
  3. the sale of a 30MW wind farm to Tages Capital SGR, in the context also of a bankrupctcy procedure of Glennmont Italian partner;
  4. the €416 million acquisition of a 245 MW wind projects portfolio from Spanish electric utility Iberdrola;
  5. the acquisition of 10MW wind farm from Iberdrola;
  6. the incorporation of Green Energy Management Services (GEMS), for the management of reneable assets in Italy.

Greenvolt Power in the sale of a portfolio of 19 projects for a total capacity of 153MW to Nuveen Infrastructure.

 

Obton Group, in:

  1. the acquisition of more than 100 solar plants from E2E;
  2. the acquisition of 2 PV Plants from EOS;
  3. the acquisition of 43 solar plants for an aggregate capacity of 32.5MW from E2E;
  4. the acquisition of a portfolio composed by 23 solar plants for an aggregate capacity of 17MW from EOS Investment Management.

Sonnedix, in:

  1. several acquisitions from ICS S.r.l., one of the most developer in Italy, of solar plants in Sicily;
  2. the acquisition from Ellomay of a porfolio of 12 solar plants for an aggregate installed capacity of 23MW;
  3. the acquisition from Graziella Green Power S.p.A. of a portfolio of 28 solar plants for an aggregate installed capacity of 53 MWp.

Alternus Clean Energy in the sale of 13 PV plants to Gruppo Undo.

 

Green Arrow, in:

  1. the acquisition of projects for the construction and maintanance of plants for biomethane production in Lombaria Region with a joint venture with L&L;
  2. start-up of mini hydro plants, in Viterbo and Campobasso;
  3. the acquisition of hydro plant in Lombardia and Emilia Romagna Regions from L&L.

Volta Green Energy, in:

  1. the sale of a portion of the corporate capital to A2A, with the aim to co-develop a pipeline of wind and solar projects for an expected capiticy of around 800 megawatt.

GSR Tech, in:

  1. the sale of different projects for a total capacity of more than 100MW to different investors with a co-development scheme.
