Vanessa specialises in Italian and European public law in the energy and infrastructure sector. She regularly provides assistance to national and foreign investors, infrastructure funds, multi-utilities, public authorities and other sponsors in the context of national and cross-border M&A and financing transactions. She has gained extensive experience in all aspects of public law (administrative, environmental, regulatory, public contracts, PPPs) in relation to all phases of development and operation of infrastructure projects, such as renewable and fossil fuel power plants, interconnectors, LNG regasification terminals, and power and gas storage facilities. Vanessa also deals with issues related to European regulation on energy market (REMIT, MAR, MIFID), foreign direct investment control (so-called golden power), competition (cartels, merger control, abuse of dominant position), as well as consumer protection.

Notable Experience

 

Representative transactions Vanessa has recently advised include assistance to:

  • BNZ, a Glenmont Partners from Nuveen portfolio company, in relation to the acquisition, through its subsidiary CEF Energy 3 S.r.l., of the entire share capital of three SPVs owning three photovoltaic projects under development for an overall capacity of approx.130MW.
  • Quercus Real Assets, in relation to the acquisition of a portfolio comprising of 15 photovoltaic projects for an overall capacity of 417.4MW.
  • EDP Renewables in the acquisition of the entire share capital four SPVs owning four photovoltaic projects for an overall capacity of approx. 200MW.
  • Iren in the acquisition from European Energy of a portfolio comprising of five photovoltaic plants for an overall capacity of approx.120MW.
  • Everwood in the acquisition from TW Solar of a photovoltaic project of a capacity of 66MW in Sicily.
  • ENI in the merger-control notifications under seven jurisdictions related to the joint-venture with Qatar Energy for North Field East expansion project (NFE), the world’s largest LNG project in Qatar.
  • Terna Energy Solution in the acquisition from Solaris of a 75% interest in the share capital of LT S.r.l., one of the leading operators in Italy in the maintenance of photovoltaic plants (also in relation to the notification to the Italian Competition Authority under Article 8, par. 2-ter, Law No. 287/1990).
  • The bankruptcy trustee of Suntech in the sale to an investors’ consortium participated by York Capital Management and Marseglia Amaranto Energy and Development (MAES) of the entire share capital of Global Solar Fund S.C.A., a Luxembourg-registered company whose subsidiaries hold both a portfolio of 174 photovoltaic plants with a capacity exceeding 135MW and a service company.
  • A2A in the acquisition from Octopus Investments of the Italy’s largest merchant PV portfolio in Italy of an overall capacity of 173MW (also in relation to the FDI notification).
  • Dolomiti Energia Holding in the subscription of a capital increase in Iniziative Bresciane, a company listed on AIM and owning a large portfolio of hydroelectric plants and projects.
  • Green Arrow Capital in the acquisition of L&L Bio of a majority stake in six SPVs, holding a biomethane project each.
  • Higas in the development of a small-scale regasification in Sardinia.
  • Interconnector Energy Italia, a consortium of Italy’s largest energy-intensive companies, in the acquisition from the Terna Group of Monita Interconnector, SPV owning the power interconnection line between Italy and Montenegro (2020 IJInvestor Best Oil & Gas Acquisition overall winner and 2020 IJInvestor Best Oil & Gas Acquisition (LNG Midstream)).
  • Edison in the acquisition from EDF Renouvelables of EDF EN Italia, owning a portfolio comprising of wind farms for an overall capacity of 265MW and photovoltaic plants for an overall capacity of 77MW
  • Solar Ventures in the sale to Pioneer of SPVs owning photovoltaic projects for an overall capacity of approx.150MWp.
  • Solar Ventures in the sale to Zouk of interests in SPVs owning photovoltaic plants for an overall capacity of approx..120 MWp.
